Welcome to verset, a hierarchical General Purpose AI Studio operated by zetta株式会社 ("we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of verset's services, including our web application at uni.verset.io, our website at verset.io, and all related services (collectively, the "Service").

By accessing or using verset, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

1. Service Description

verset is a hierarchical AI-driven work terminal that integrates: - Todo lists and task management - Note-taking and documentation - Code editing and development tools - Console and terminal access - AI-powered features using multiple AI providers (OpenAI, Claude, Gemini, and open-source models via OpenRouter) - Collaboration and content sharing capabilities - Token-based services for premium features

2. Eligibility

2.1 Age Requirement

You must be at least 13 years old (or the equivalent minimum age in your jurisdiction) to use the Service. If you are under 18, you must have your parent or legal guardian's permission to use the Service.

2.2 Account Accuracy

You must provide accurate, current, and complete information during registration and keep your account information updated.

2.3 Geographic Restrictions

The Service is currently operating primarily in Japan and the United States. Access from other jurisdictions may be restricted or limited.

3. Account Registration and Security

3.1 Account Creation

To use certain features of the Service, you must create an account by providing: - A valid email address - A username - A secure password

Free Tier - Limited AI model access with minimum quota - Basic features for testing our workflow - Approximately 5% of Basic tier quota

Plus Tier ($15/month) - Reasonable token allocation for daily use - Access to standard AI models (e.g., DeepSeek, Claude Sonnet) - Token pricing: original provider cost + 5% service fee

Pro Tier ($100/month) - Access to premium AI models (e.g., Claude Opus) - Pay-as-you-go for additional usage - Priority support

4.2 Token System

- Tokens can be purchased and used for AI features and premium services - Tokens are non-refundable once purchased - Unused tokens remain in your account and do not expire while your account is active - Token pricing reflects the underlying AI provider costs plus our service fee

4.3 Payment Terms

- Subscriptions are billed monthly in advance - Payments are processed through third-party payment processors - You authorize us to charge your payment method for recurring subscription fees - All fees are exclusive of taxes; you are responsible for applicable taxes

4.4 Refunds and Cancellation

- Subscription fees are non-refundable except as required by law - You may cancel your subscription at any time, effective at the end of your current billing period - Upon cancellation, you will retain access to paid features until the end of the billing period - Purchased tokens are non-refundable

4.5 Price Changes

- We may change subscription prices with at least 30 days' notice - Price changes apply to subsequent billing periods - Continued use after price changes constitutes acceptance

5. Acceptable Use Policy

5.1 Permitted Use

You may NOT use the Service to:

AI Misuse - Use AI features to generate illegal content - Attempt to manipulate or "jailbreak" AI models - Use the Service to train competing AI models - Generate content that violates AI provider terms of service

Commercial Abuse - Resell or redistribute the Service without authorization - Use free tier accounts for commercial purposes beyond evaluation

5.3 Content Restrictions

You agree not to store or process: - Content that violates export control laws - Content that infringes third-party rights - Excessively large files that degrade service performance (we may impose reasonable storage limits)

6. Intellectual Property

6.1 Your Content

- You retain all rights to content you create, upload, or store in the Service ("Your Content") - You grant us a limited license to host, store, process, and display Your Content solely to provide the Service - You represent that you have all necessary rights to Your Content

6.2 Our Intellectual Property

- The Service, including its design, features, code, and branding, is owned by zetta株式会社 - Our trademarks, logos, and brand elements may not be used without permission - You may not copy, modify, or create derivative works of the Service

6.3 AI-Generated Content

- Content generated by AI models using Your Content as input is considered Your Content - You are responsible for reviewing and validating AI-generated content - AI-generated content may not be unique; similar prompts may produce similar outputs for different users

6.4 Feedback

- Any feedback, suggestions, or ideas you provide may be used by us without compensation or attribution - You grant us a perpetual, worldwide license to use such feedback

7. Third-Party Services and AI Providers

7.1 AI Provider Terms

When using AI features, you agree to comply with the terms of service of our AI providers: - OpenAI Terms of Service - Anthropic (Claude) Terms of Service - Google (Gemini) Terms of Service - OpenRouter and respective model provider terms

7.2 Third-Party Services

- AI-generated content may contain errors, inaccuracies, or inappropriate content - You are responsible for reviewing and validating all AI outputs - We do not warrant the accuracy, completeness, or reliability of AI-generated content - AI models may produce biased, incorrect, or harmful outputs despite our safeguards

10.3 No Professional Advice

- The Service does not provide professional advice (legal, financial, medical, etc.) - AI-generated content should not be relied upon as professional advice - Consult qualified professionals for specific advice

10.4 Data Loss

- While we implement backup systems, we do not guarantee against data loss - You are responsible for maintaining your own backups of critical data

11. Limitation of Liability

11.1 Liability Cap

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIMS RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF: - The amount you paid us in the 12 months before the claim, or - $100 USD

You agree to indemnify, defend, and hold harmless zetta株式会社, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from: - Your use of the Service - Your violation of these Terms - Your violation of third-party rights - Your Content or AI-generated content created using Your Content - Your violation of applicable laws

13. Dispute Resolution

13.1 Governing Law

These Terms are governed by the laws of Japan, without regard to conflict of law principles.

13.2 Jurisdiction

For users in Japan: Disputes shall be subject to the exclusive jurisdiction of the Tokyo District Court.

For users in the United States: Disputes shall be subject to the jurisdiction of courts in the state where zetta株式会社 maintains its principal business operations in the US, or federal court if jurisdiction exists.

13.3 Informal Resolution

Before filing a claim, you agree to contact us at [email protected] to attempt informal resolution. We will attempt to resolve disputes within 60 days.

13.4 Arbitration (US Users)

If informal resolution fails, US users agree to binding arbitration under the rules of the American Arbitration Association. Arbitration will be conducted in English and limited to individual claims (no class arbitration).

You agree to bring claims only in your individual capacity and not as part of any class or representative action.

You agree to comply with all applicable export control laws, including: - US Export Administration Regulations - Japanese export control laws - Sanctions and embargoes

15.2 Restricted Parties

You represent that you are not: - Located in, or a resident of, sanctioned countries - Listed on any government restricted party list - Prohibited from receiving US or Japanese exports

15.3 Restricted Use

You will not use the Service for: - Development of weapons of mass destruction - Military applications in sanctioned countries - Any prohibited end-use under export control laws

16. Miscellaneous

16.1 Entire Agreement
